НУЛЕВАЯ СТАВКА НА ТОВАРЫ  ВНУТРИ СООБЩЕСТВА

До 1 мая 2004 весь объем экспорта товаров в пункты назначения за пределами Кипра имел право на нулевую ставку НДС. Это по-прежнему имеет место в отношении экспорта в страны за пределами ЕС. Тем не менее, в соответствии с мерами ЕС относительно НДС, начиная с этой даты, кипрские трейдеры, зарегистрированные в качестве плательщиков НДС, могут получить нулевые ставки на поставку товаров клиентам в другом государстве-члене (MS), при условии, что:

-Клиент регистрируется в качестве плательщика НДС в другом MS,

- Поставщик получает и хранит НДС номер клиента,

- Этот номер вместе с регистрационным номером НДС поставщика указываются в счетах-фактурах продажи,

- Товары отправляются и транспортироваться в другое MS,

- Поставщик сохраняет соответствующие коммерческие документальные доказательства, что товар был перемещен с Кипра,

- Поставщик подает Сводную смету в  службы НДС.

Назначение системы VIES

VIES (Система информационного обмена об НДС) вносит свой вклад в эффективность этого нового режима НДС и предоставляет механизм для предотвращения и ограничения допуска к  злоупотреблению положением о нулевой ставке НДС внутри сообщества торговли товарами и выявления незарегистрированных действий по перемещению товаров нулевой ставки между MS. Неотъемлемой частью системы является требование к каждому MS хранить и обрабатывать конкретную информацию, которую оно собирает у своих трейдеров об их поставках в другие MS.

Обязанности трейдеров в связи с  VIES

По национальному и ЕС законодательству, регулирующему VIES, каждое НДС – зарегистрированное лицо, которое поставляет товар НДС – зарегистрированному лицу в другом MS, должно подать Сводную смету, декларирующую поставки внутри сообщества, сделанные в ходе календарного квартала.

Смета должна быть представлена в службы НДС до десятого числа второго месяца, следующего за календарным кварталом, к которому относится заявление. Если лицо не выполняет данные требования, то оно подвергается штрафу в размере пятьдесят один евро (€ 51) за каждый месяц несоблюдения, максимум три месяца. Несоблюдение, которое продолжается и после трех месяцев, является уголовным преступлением и  с осужденного может взиматься дополнительный штраф в размере до двух тысяч пятисот шестидесяти двух евро (€ 2562).

Более того, соответствующее законодательство предусматривает, что представленная Сводная смета не должна быть неполной или содержать неточности, такие, как неправильные номера НДС клиентов в других MS. Если представленная  Сводная смета является неполной или содержит неточности, налогоплательщик должен представить корректирующее заявление в течение двух месяцев календарного квартала, к которому относится Сводная смета. В противном случае налагается штраф в пятьдесят один евро (€ 51).

Режим облегчения импортных пошлин и акцизных сборов на товары, ввозимые для использования оффшорными компаниями или их иностранными специалистами, был отменен с 31 декабря 2003 года.

Налоговые скидки на транспортные средства

Несмотря на то, что облегчение режима для оффшорных компаний было отменено, как уже упоминалось ранее, уполномоченный оффшорный персонал оставляет за собой право продолжать владеть беспошлинными транспортными средствами, официально зарегистрированными на их имя до 31-го марта 2003 года, кроме следующих случаев:

• изменение места занятости в пользу другой уполномоченной оффшорной компании;
• продолжение работы в той же уполномоченной компании, которая расширила свою деятельность на Кипре, и предпочла налогообложение в соответствии с положениями раздела 46 Закона о подоходном налоге, в соответствии с обычной ставкой корпоративного налога.
• изменение места занятости в пользу другой компании, которая имела право на скидку, но предпочла налогообложение в соответствии с положениями раздела 46 Закона о подоходном налоге, в соответствии с обычной ставкой корпоративного налога.

В случае использования транспортного средства, будут применяться положения Правила 12 Таможенных и Акцизных сборов (скидка на импортные товары) Правил 2004 года, П. И. 380/04.

ZERO-RATING OF INTRA-COMMUNITY SUPPLIES

Prior to 1st May 2004 all exports of goods to destinations outside Cyprus, qualified for the zero rate of VAT.  This continues to be the case for exports to countries outside the EU.  However, under the EU VAT arrangements, as from that date a Cypriot trader registered for VAT may zero-rate the supply of goods to a customer in another Member State (MS) provided that:

-The customer is registered for VAT in the other MS,

- The customer’s VAT registration number is obtained and retained in the supplier’s records,

- This number, together with the supplier’s VAT registration number is quoted on the sales invoice,
- The goods are dispatched and transported to the other MS,

- The supplier retains appropriate commercial documentary evidence that the goods have been removed from Cyprus,

- The supplier submits the Recapitulative Statements to the VAT Service.

PURPOSE OF THE VIES SYSTEM

VIES (VAT Information Exchange System) contributes to the effectiveness of this new VAT regime and provides a mechanism for preventing and deterring of the abuse of the VAT zero-rating provisions on intra-community trade of goods and detecting unreported movements of zero-rated goods between MS. An integral part of the system is a requirement that each MS must store and process specific information which it collects from its traders about their supplies to other MS.

OBLIGATIONS OF TRADERS UNDER VIES

Under the EU and the national legislation regulating VIES, any VAT-registered person who supplies goods to a VAT-registered person in another MS has to submit the Recapitulative Statement declaring all the intra-community supplies made during a calendar quarter. The Statement must be submitted to the VAT Service until the tenth day of the second month following the calendar quarter to which the statement relates. If a person fails to comply, this person is liable to a penalty of fifty one euro (€51) for every month of non-compliance, the maximum being three months. Non-compliance that continues after the three months constitutes a criminal offense and a convicted person may incur an additional fine of up to two thousand five hundred sixty two euro (€2562).

Moreover, the relevant legislation provides that the submitted Recapitulative Statement should not be incomplete or contain inaccuracies, such as wrong VAT numbers of the customers in other MS. If a submitted Recapitulative Statement is incomplete or contains inaccuracies, the taxpayer should submit a corrective statement within two months following the calendar quarter to which the Recapitulative Statement relates. In opposite case, a penalty of fifty one euro (€51) is imposed.

The relief regime from import and excise duties for goods imported for use by offshore companies or their expatriate personnel has been terminated since 31 December 2003.

Motor vehicles under relief

In spite of the fact that the relief regime for offshore companies has been abolished, as mentioned earlier, entitled offshore personnel reserves the right to continue to possess a duty free vehicle which has been registered in their name prior to the 31st March 2003 in cases whereby they:

• change employment to another entitled offshore company;
• continue their employment in the same entitled company, which has extended its activities into Cyprus and has chosen to be taxed in accordance with the provisions of section 46 of the Income Tax Law, under the normal corporate tax rate;
• change employment to another company which was entitled to relief but has elected to be taxed in conformity with the provision of section 46 of the Income Tax Law, under the normal corporate tax rate.

In case of disposal of the vehicle, the provisions of Regulation 12 of the Customs and Excise Duties (Relief on Imported Goods) Regulations of 2004, P.I. 380/04, will apply

Recently there have been amendments in 3 statutes namely the (1) Town and Country Planning (N.90/72), (2) the Streets and Buildings Regulation (Chapter 96), and (3) the Immovable Property (Chapter 224) (Tenure, Registration and Valuation) Laws (hereinafter collectively called “the Planning Amnesty Amendments”).

The Planning Amnesty Amendments came into force on 8.4.2011. Their aim is to simplify the procedures regarding the legalization of irregularities and ultimately the issue of updated title deeds.

For the first time a purchaser (apart from the registered owner) has the right to activate necessary procedures for the legalization of the development or for the issuing of title deeds. Where the registered owner seems to be reluctant or unwilling to unwilling to apply for a certificate of approval or to legalize the building, the Authorities are empowered to impose considerable administrative fines. It is advisable that the statements of intent or planning applications are submitted jointly by as many co-owners as possible.

Therefore an owner and/or purchaser of immovable property unit with irregularities and no separate title deed may:

1. Apply directly for the issue of separate title deed, without prior legalization of the irregularities. This means that the title deed shall be subject to the said irregularities, if any, or

2. Apply for the legalization of the irregularities prior to the issue of title deed. With this way there will be no irregularities registered on the title deed.

A fixed three-year period, expiring on 7.4.2014, is defined, for the submission of applications making use of the Planning Amnesty Amendments. However if a purchaser wishes to legalize irregularities, he/she must submit a Statement of Intent the latest by 7.10.2011

Issue of Title Deed (without prior legalization)

The legality of the building is no longer a prerequisite for the issuing of an updated title deed. Thus title deeds can be issued, despite any building irregularities, provided that an application is submitted to the Building Authority, together with an accurate description of the building as well as any irregularities that may appear, in comparison to the building or the planning permit issued.

Following the said application the Building Authority shall issue:

1) a certificate of approval (in case the building was constructed in accordance with issued permits) or

2)   a noted certificate of approval (where the deviations shall be described)  or

3)  a certificate of unauthorized operations (in case of substantial irregularities in relation to the permit)

The Building Authority may issue a certificate of approval, even if a planning permit or a building permit has expired. The certificate of approval has the effect of a building permit.

The Building Authority shall send all the relevant information to the Land and Surveys Department in order to obtain a title deed with or without notes or with prohibition of transfer and burden.

It should be noted that the updated title deeds are issued in the name of the original owner, and not in the name of the purchasers. The Authorities involved in the procedure do not have the power to transfer property rights to purchasers, without the owner´s consent. However, it is of crucial importance, that separate title deeds are issued for individual units of a larger development, as this facilitates significantly the purchaser to invoke the right of specific performance of the contract of sale, through action taken in the Courts, against the vendor. The transfer of property to purchasers is performed by the registered owner, either voluntarily, or by an Order of the Court, issued at the request of the purchaser.

Legalization of Irregularities (prior to issue of title deed)

If a purchaser wishes to legalize any irregularities, he/she must submit to the ministry of interior a 2-page Statement of Intent the latest by 7.10.2011. The said Statement contains general information that is necessary so as to ensure that the irregularities existed on April 8, 2011, and is attested by an affidavit provided by a qualified person, member of the Scientific and Technical Chamber of Cyprus (ETEK).

It is strongly recommended that each owner to submit the said notice prior to the above deadline, even if at this stage he/she is not certain whether the irregularities satisfy the conditions of the Planning Amnesty Amendments. The said statement is the KEY for an owner/purchaser to proceed later on with an application to legalize the irregularities (this does not apply to persons submitting, directly, an application for planning permit (instead of a statement of intent) to the Planning Authority until October 7, 2011, or those who have already submitted an application to the Building Authority for a certificate of approval and have not yet been informed of the Authority’s decision).

The Planning Amnesty Amendments enable the legalization of only specific type, nature, scale and significance irregularities on existing buildings under certain conditions, the most important of which is the existence of a relevant planning permit and/ or building permit for the development, even if the planning permit and/ or building permit have expired.

The scale and significance of the irregularities that can be legalised are defined by the provisions of the law. Not any irregularity, irrespective of its scale, can be legalised. In cases of irregularities of a very severe nature, the Building Authority is empowered to issue a certificate of unauthorized works, requiring the Department of Lands and Surveys to register a note on the title, prohibiting the transfer of the property to another person.

For example the provisions of the law can apply where there is an increase of the approved plot ratio (of the building or the individual unit) up to 30% of the approved covered area, of which only 10% could be allocated outside the approved shell of the building, differences in the approved general layout of the development etc. In such cases compensation levy will be imposed on the owner or purchaser, which will be equivalent to the market value of the area in excess. These values will be determined on the basis of general estimates carried out by the Department of Land and Surveys, which will be published by an Order of the Minister of the Interior. A 20% discount on the compensation levy is set for all applications submitted within the first year period, and a 10% discount for applications submitted within the second year of the implementation of the provisions of the law.

General Overview

Cyprus is a unique Mediterranean island at the intersection of the most important world trade routes, equidistant from three continents. The area of it is equal to the area of Lebanon or Connecticut, and the time is 7 hours different from Tokyo or New York.

The governmental structure is fully democratic and guarantees the protection of individual rights and freedoms.

The legal system and laws of Cyprus are based on the similar of the UK and are usually written in English.

The educational system consists of primary, secondary and vocational schools with a high level of teaching. For foreign students there are private schools with studying in different languages.

Secondary education and knowledge of English are necessary for higher education, but the latter can be improved in a college.

Schools in Cyprus

Up to five years, children are educated in public or private kindergartens, and then they enter primary schools. From the 1st to 3rd form they learn reading, writing and arithmetic, then, up to 6th form – languages, music, humanities.

At the gymnasium during three years they receive school-depth knowledge of languages and general subjects.

Optional subjects are taught in paid high schools, where you can choose from different disciplines and specializations.

Paid private schools are sometimes based on the study of foreign languages.

In Cyprus, there are also learning American, British, French and Lebanese programs

Secondary education

There is a large number of private schools, such as, Logos School of English Education, Grammar school, The American Academy (Private) is an independent school registered on private schools legislation of the Republic of Cyprus, founded in 1906 by American missionaries for children from different countries, and the school is a member of the British Association of Private Schools and boarding houses, where teaching follows English national program. There are also active Russian Schools, the most popular being “Student’s of Pyfagor”. All private schools in Cyprus provide IGCSE examinations.

Colleges of Cyprus

In Cyprus among schools and universities there are many intermediate schools, where in 1-4 years of studying you can receive a specialty, a diploma and a bachelor’s degree. For example Cyprus College trains BSc (Bachelor of Science) in business, computer technology, etc., and Higher College of Technology trains specialists in the fields of construction, electronics, engineering, computer science, with granting a degree in engineering technology (Diploma of Technician Engineer) and an opportunity to continue their education abroad.

In “Intercollege” which is now called “University of Nicosia” and some others you can get a double degree – for example, a diploma of the University of Indianapolis, and there they also use methodology of the University of London. Very popular specialties are psychology and international relations.

There are approximately 20 Colleges in Cyprus.

Hospitality and Tourism in Cyprus

But the most popular are hospitality and tourism. These specialties are taught at the Americanos College, Cyprus College, the College of Europe, Institute of Technology and a specialized College of Tourism and Hospitality Management.

Americanos College has links with educational establishments in Britain (University of Wolverhampton, Liverpool John Moores University, etc.), USA (University of Miami, Central Michigan University, and others), as well as with Ireland, Australia, New Zealand, Canada, and therefore the graduates of it have an opportunity  to continue their education in these countries and to participate in exchange programs.

Academic year, according to the American education model, consists of two semesters (fall and spring), each of them lasts 17 weeks. The students have an opportunity to get a diploma, certificate and bachelor’s degree in business administration, management, marketing, information systems, etc. During the four years of study they have to gain at least 60 or 120 credit hours for a degree depending on the desired diploma.

To enter the Americanos College you have to pass the TOEFL with 500 points or IELTS with the score of 5.5 points, and to provide secondary school diploma and a transcript with a description of courses and number of hours. Points in the English language can be improved by courses at the college.

Higher Education- University of Cyprus

Cyprus has the financial, communicational, transport and educational links with the entire world. The economy of Cyprus has provided the island with developed banking system and foreign investment inflows. The most dynamic sector of the economy is tourism. In the higher education of Cyprus are involved thousands of students from around the world.

University of Cyprus, founded in 1992, consists of four faculties: Humanities and Social Sciences (including the Department of Education, Foreign Languages, Social and Political Science), Applied Sciences, Economics and Management, Philology.

Education at the University is in Greek and English languages. Applicants have to go through a multistep procedure of examinations and competition of documents. There are few foreigners at the university.

Program classes each semester are based on credit hours. You need to gain 120 “credits” and 6-9 credit hours in foreign languages. Before the exams each semester consists of consultations, labs, lectures, seminars, practices.

In the University library there are more than 150 thousand books and about 1,600 periodicals.

Professional Education in Cyprus

Among the most popular programs for managers in Cyprus are considered such as business administration, hotel management, culinary arts, tourism, design, law, etc. Accounting firms of Cyprus provide financial services at the local and international level.

On the island there are more than 300 hotels, residential complexes and luxury hotels – Hilton, Forum Intercontinental, Holiday Inn., so the tourism industry includes many travel agencies and airlines, as well as one-third of the local population and a large number of visitors. Paralimni Property Prices – Paralimni Apartments Prices

Правительство Республики Кипр приняло поправки к закону касательно строительной амнистии, что значительно облегчило приобретение обновленных титулов, лицами, являющимися  собственниками  недвижимости на Кипре. Данные поправки касаются закона о планировании городских и сельских поселений (Town and Country Planning Law), закона о  землепользовании и застройке (Regulation of Streets and Buildings Law),  а также  закона о недвижимом имуществе [Immovable Property Law (Tenure, Registration and Valuation)], которые вступили в силу с 8 Апреля 2011 г.

Министерство внутренних дел Республики Кипр опубликовало    бюллетень с целью разъяснения вышеуказанных поправок.

Ниже указаны  основные изменения законодательства:

1.  Легальность построек  больше не является условием для выдачи обновленных титулов. Таким образом, становится возможным выдача   титула,  несмотря на наличие определенных нарушений строительных норм и правил, при условии указания данных нарушений на титуле собственника.

2. С целью выдачи данных титулов,  требуется подача соответствующего  заявления в органы архитектуры и градостроительства. Заявления должны  сопровождаться  точным описанием как построек, так и относительных нарушений строительных норм и правил касательно построек или выданных разрешений на строительство.

3. Выдача титулов собственника (с примечаниями) не легализует постройку. При наличии нарушений, органы архитектуры и градостроительства и/или архитектурно-планировочное управление и/или директор департамента земельных ресурсов и обследованний,  имеют полномочия принимать  меры против владельцев в целях их  принуждения к исполнению обязанностей, вытекающих как  из действующего законодательства, так и соответствующих  разрешений на строительство.

4. Владелец строения и надзирающий  инженер, в течение установленного периода обязаны предоставить в органы архитектуры и градостроительства отчет о завершении строительства, о  начале эксплуатации здания, а также о любых изменениях, не подлежащих подтверждению относительно утвержденных планов и условий выданных разрешений на строительство.

5. Право на выдачу обновленного  титула  имеет владелец, покупатель (при определенных условиях), орган архитектуры и градостроительства, архитектурно-планировочное управление, а также  директор департамента земельных ресурсов и обследованний.  Следовательно, владелец не является единственной стороной,  имеющей вышеуказанное право. Это особенно актуально в случае, если владелец по какой-либо причине отказывается выполнять свои обязанности,  истекающие из  разрешения (приобретенного ранее) на строительство.

6. Данные титулы выдаются на имя владельца недвижимости. Учавствующие  органы администрации не имеют право на передачу покупателю прав собственности без согласия владельца. Передача имущества осуществляется  зарегистрированным владельцем, либо добровольно, либо путем получения судебного решения, выданного в последствии  судебного разбирательства по ходатайству покупателя (истца).

7. Все  заинтересованные ведомства должны непосредственно информировать друг друга касательно легализации строений, независимо от каких-либо  инициатив владельца.

8. Вышеупомянутые компетентные органы (орган архитектуры и градостроительства, архитектурно-планировочное управление, директор департамента земельных ресурсов и обследованний) имеют право налагать административные штрафы в случае, если владелец недвижимости не желает представить необходимые заявления на легализацию построек, отказывается декларировать   нарушения строительных норм и.т.д. В данном случае, вышеупомянутые штрафы действуют  в качестве давления с целью принуждения сторон   к исполнению своих  обязательств. Ожидается, что строгие административные штрафы будут иметь существенное воздействие на правонарушителей. Таким образом, владельцам недвижимости предоставляется стимул для использования вышеуказанных поправок к законодательству.

Краеугольным камнем этого анализа является тот факт, что экономический успех часто связан с необходимыми изменениями, которые повысят роста рынка. Вопрос теперь в том, что действительно изменилось в реальности Кипра. Хорошо известным фактом было то, что до недавнего времени существовали 49% ограничения на иностранное участие в кипрских предприятиях. Уже одно это было предметом скептицизма и недоверия потенциальных инвесторов, которые считали данное условие ограничения орудием эксплуатации своих местных коллег.

Правительство Кипра оценило эту подозрительность и взяло на себя инициативу изменить положение вещей. Его цель состояла в повышении экономического процветания на Кипре и привлечении потенциальных инвесторов в мировом масштабе, разрушая узкие границы ЕС. Первым принятым действием было введение политики новых прямых иностранных инвестиций (ПИИ), основной целью которой была гармонизация и равенство между гражданами ЕС и не входящими в ЕС гражданами. Второй целью, которой необходимо было достичь, стало изменение длинных и ненужных административных процедур, которые добавляли избыточную задержку и делали бюрократию невыносимым бременем.

Либерализация внешнего участия

Однако самым радикальным из предпринятых шагов была либерализация внешнего участия в большинстве секторов экономики. Новые и улучшенные принципы в области ПИИ делают возможным участие в акционерном капитале до 100% без минимального уровня капиталовложений. Кроме того, и что наиболее важно для потенциальных инвесторов, заинтересованных в регистрации компаний или приобретении доли в уже существующих компаниях, регистрация на Кипре не требует одобрения Центральным Банком Кипра. Очевидно, что этот режим позволит привлечь на Кипр новых инвесторов, отменяя различия между иностранными и кипрскими компаниями и тем самым создавая твердую, но все же многогранную экономику, идеально подходящую для инвестиций и капитализации.

Инвестирование в Кипрскую фондовую биржу

Другим инновационым полномочием, установленным для иностранных инвесторов, является возможность торговать на Кипрской фондовой бирже (CSE) на равных, и подчиняться тем же правилам и положениям, что и киприоты или граждане других стран ЕС, в отношении распределения капитала. Теперь иностранные инвесторы могут торговать на любом современном фондовом рынке, при условии, что инвесторы следуют процедурам, соответствующим правилам и положениям CSE. Стоит также отметить, что иностранные инвесторы могут приобрести до 100% акционерного капитала всех зарегистрированных компаний Кипра. Уже одно это свидетельствует о том, что экономика Кипра работает на либеральных условиях создания бизнес-возможностей для потенциальных инвесторов.

Приобретение недвижимости

Приобретение недвижимости на Кипре регулируется “Законом о Приобретении недвижимости (с поправками)” 2003 года, который вступил в силу с 1 мая 2004 года. Этот законодательный документ направлен на выработку руководящих указаний относительно того, как не входящие в ЕС граждане могут приобретать недвижимость на Кипре. Более конкретно, неграждане ЕС должны получить предварительное разрешение кипрского Совета министров, который будет регулировать необходимые ограничения или шаги, которые нужно предпринять для согласования с правилами и политикой Кипра в отношении сектора недвижимости. Стоит также отметить, что процесс утверждения может занять до 6 месяцев максимум, а в случае, если не входящий в ЕС гражданин пренебрег этой процедурой, но тем не менее, зарегистрировал свою собственность, это будет являться нарушением вышеуказанного законодательства и регистрация будет рассматриваться как оспариваемая и подлежащая удалению из земельного кадастра.

Поэтому очевидно, что экономика Кипра создает прочную, но все же гибкую инфраструктуру для потенциальных иностранных инвесторов, которые желают вкладывать средства в бизнес-рынок на Кипре. Географическое положение и размер  Кипра могут также рассматриваться как преимущества и причины для инвестирования, и, безусловно, они будут использоваться инвесторами, которые планируют инвестировать в Кипр и ищут пути к  сотрудничеству с соседствующими сильными экономиками таких государств, как Израиль.

Cyprus Government with its new property Amnesty Bill has taken a huge step forward with the modernization and simplification of procedures and legal provisions that eventually lead to the security of updated title deeds by respective property owners.  The legislation came into force on April 8 2011, at the same time where the E.U pilot scheme promises to end the problems experienced by expatriates when buying property in other European countries by allowing for the procedure to be settled in the purchaser’s home country and protected by the laws of that country.

Back to Cyprus, the House of Representatives has approved amendments of the Town and Country Law, the Streets and Building Regulation and the Immovable Property (Tenure, Registration and Valuation) Law.

The Ministry of Interior has published a bulletin in order to assist in the understanding of the opportunities presented by the current legislation.  According to the bulletin the key features of the amended legislation, which clarify the aspirations of the system introduced, are the following:

(a) The legality of the building is no longer a prerequisite for the issuing of an updated title deed. It is made possible for a certificate of registration to be issued for a building with certain irregularities; however, these irregularities are to be recorded on the title deed.

(b) Updated title deeds can be issued, despite any building irregularities, provided that an application is submitted to the Building Authority, together with an accurate description of the building as well as any irregularities that may appear, in comparison to the building or the planning permit issued.

(c) The issuing of a title deed with notes does not render the relevant building legal. Where irregularities exist, substantial or otherwise, the Building Authority and/ or the Planning Authority, and/ or the Director of the Land and Surveys Department, are empowered to take measures against the owner, so that he can be persuaded to fulfil all obligations arising from the legislation and the permit.

(d) The owner of the development, as well as the supervising engineer, are obliged to inform the Building Authority, within a specified period, as to the completion and beginning of use of the building, and to any alterations which may not conform with approved plans and conditions of the permits

 (e) The right to activate necessary procedures for the legalisation of   the development or for the issuing of updated title deeds, is extended – apart from the owner – to the purchaser (under certain conditions), as well as to the Competent Authority (Planning Authority, Building Authority, or the Director of the Land and Surveys Department). Consequently, the owner is no longer the only party that can invoke these procedures, particularly in cases where the owner is reluctant or unwilling to fulfil his obligations, as these arise from the conditions of the permits he has previously secured.

(f) Updated title deeds are issued in the name of the original owner, and not in the name of purchasers. Authorities involved in the procedure do not have the power to transfer property rights to purchasers, without the owner´s consent. However, it is of crucial importance, that separate title deeds are issued for individual units of a larger development, as this facilitates significantly the purchaser to invoke the right of specific performance of the contract of sale, through action taken in the Courts, against the vendor. The transfer of property to purchasers is performed by the registered owner, either voluntarily, or by an Order of the Court, issued at the request of the purchaser

(g) Concerned Authorities shall inform each other directly on any actions taken towards the legalisation of the buildings, and will not depend on the owner´s initiative

(h) In all three amended laws, Competent Authorities (Planning Authority, Building Authority and the Director of the Land and Surveys Department) are empowered to impose administrative fines, in cases where the owner is reluctant or unwilling to submit the required declarations or applications for the legalisation of buildings, or irregularities in buildings, or for the issue of certificates of approval or certificates of unauthorised works or updated title deeds. Administrative fines are considered to be the means for obliging those parties with a legal responsibility to comply with their obligations by law. It is expected that strict administrative fines will definitely have a major impact on wrongdoers. Consequently, as a result of the incentives provided, but also in view of the risk of heavy administrative fines being imposed, all owners have a real interest in using the potential provided by amended legislations.

Цель

Единственной целью ICIS является коллективное инвестирование средств пайщиков, что регулируется Законом о Международных коллективных инвестиционных схемах, 47 (I) / 1999. Согласно этому закону, пайщик является владельцем единиц (доли, участия или процентов в схеме).

Пайщик может быть:

a)   ICIS, или

b)  Международной бизнес-компанией, или

c) лицом, не являющимся постоянным резидентом Кипра для целей закона валютного контроля.

Правовые формы ICIS

IClS может принимать следующие правовые формы:

• Международная компания фиксированного капитала
• Международная компания переменного капитала
• Схема международного паевого фонда, и
• Международное инвестиционное товарищество с ограниченной ответственностью

Все четыре типа ICIS могут быть созданы на ограниченный или неограниченный срок действия и могут быть структурированы таким образом, какой могут определить промоутеры, при условии, однако, что предусмотрена адекватная защита для владельцев инвестиционных паев.

Международная компания с фиксированным капиталом

Это Международная инвестиционная компания, которая зарегистрирована в соответствии с законом о компаниях и имеет признанное право работать в качестве международной компании фиксированного капитала по закону ICIS. Схема международного паевого фонда

Это Международный траст, созданный в соответствии с Законом о международных трастах, за которым признается право действовать по схеме международного паевого фонда по закону ICIS.

Траст юридически определяется как отношения, созданные лицом (учредитель), который помещает активы под контроль попечителя в интересах третьего лица (бенефициария). Эти активы как отдельные “фонды”, и не являются частью собственного имущества попечителя. Названием траста активов является имя доверенного лица, и попечитель имеет право и обязан управлять активами, находящимися в его доверительном управлении в соответствии с условиями трастового договора.

В соответствии со статьей 2 Международного закона о трастах, траст может быть Кипрским международным трастом, если:

• учредитель не является постоянным резидентом Кипра;
• по крайней мере одно доверенное лицо является постоянным резидентом Кипра;
• ни один бенефициар не является постоянным резидентом Кипра; и
• собственность траста не включает недвижимость на Кипре.

Схема международного инвестиционного партнерства с ограниченной ответственностью

Это партнерство с ограниченной ответственностью, зарегистрированное в соответствии с Законом о партнерстве и фирменных наименованиях, которое признано как имеющее право работать в качестве международного инвестиционного товарищества с ограниченной ответственностью по закону ICIS.

Партнерство должно назначить генерального партнера, который действует как менеджер фонда и  несет ответственность за любые долги и обязательства схемы, которые могут возникнуть. Партнеры с ограниченной ответственностью также являются членами схемы, и их ответственность ограничивается суммой, которую они внесли как свой вклад в схему. Юридическое лицо также может быть партнером с ограниченной ответственностью.

Партнеры или владельцы инвестиционных паев фонда, которые имеют ограниченную ответственность, не могут принимать участие в схеме ведения бизнеса или заключать договоры от имени международного инвестиционного партнерства с ограниченной ответственностью. Все контракты, акты, документы, письма, и прочее могут быть заключены, составлены, подписаны и выполнены генеральным партнером от имени международного инвестиционного партнерства с ограниченной ответственностью.

Типы ICIS

В зависимости от инвестиционной политики и конкретных инвестиционных целей, ICIS может быть определена как:

• ICIS, распространяемая для широкой общественности;
•  ICIS, распространяемая только для опытных инвесторов; или
• Частная международная коллективная схема инвестирования (100 или менее инвесторов)

ICIS, распространяемая для широкой общественности

ICIS, распространяемые для широкой общественности, не обязаны иметь минимальное количество подписок. Однако, Международные компании с фиксированным капиталом и Международные компании с переменным капиталом имеют минимальные требования к капиталу акций. Предлагаемый меморандум, который будет адресован общественности, должен быть одобрен Центральным банком.

ICIS, распространяемая только для опытных инвесторов

Минимальная подписка инвесторов для участия в ICIS, которые распространяются исключительно среди опытных инвесторов, составляет 50,000 долларов США.

Частные ICIS

Международная частная коллективная инвестиционная схема представляет собой схему, которая по своей конституционной документации ограничивает право передачи своих подразделений и ограничивает количество своих паев до ста.  Частным ICIS запрещено делать какие-либо приглашения общественности в любой части мира к покупке единиц в схеме.

Центральный банк рассматривает частные ICIS как частные договоренности, и, следовательно, поскольку они требуют меньше регулировании, то не обязаны назначать руководителя или доверенное лицо. Кроме того, частные ICIS не имеют минимальных требований подписки.

Нормативно-правовая база

В соответствии с законом 47 (I) / 1999, регулирующим ICIS, Центральный банк был назначен органом регулирования и надзора за ICIS. Другими законами, которые вступили в силу и применимы к ICIS, являются Закон о кипрских компаниях, Закон о фирменных наименованиях (за исключением тех частей, которые определяются законом), и Закон о международных трастах.

Лицензионные требования

Для того чтобы основать ICIS, должно быть получено предварительное одобрение Центрального Банка Кипра (Банк), как нормативно-надзорного органа для ICIS, их руководителей и попечителей.

Для того чтобы получить такое одобрение, банк должен быть обеспечен такой информацией, с тем чтобы удовлетворить требования, о компетенции директоров, промоутеров, менеджеров или попечителей, в зависимости от обстоятельств, и о том, что их честность делает их подходящими для действий в рамках их полномочий.

Налогообложение

ICIS подлежат налогообложению в том же порядке, что и любое другое юридическое лицо на Кипре. Говоря кратко, основными налоговыми льготами являются следующие:

• Единый корпоративный уровень в размере 10% для международных и местных коммерческих предприятий.
• Утверждение критерий налогообложения на основе резидентности, а не на основе доходов.
• Освобождение прибыли от продажи ценных бумаг
• Освобождение дохода в виде дивидендов в большинстве случаев
• Отсутствие удержания налога на выплату дивидендов, процентов и роялти для нерезидентов.

Процедура создания международных коллективных инвестиционных схем

ICIS должна быть одобрена Центральным банком Кипра, нормативным и надзорным органом для схем, для их руководителей и их попечителей, если это применимо.

Для этого, письменное заявление в соответствующие контролирующие органы должно быть представлено следующим образом:

• В случае международного фиксированного капитала компании и международного переменного капитала компании письменное заявление должно быть представлено лицом или от имени компании.
• В случае международного паевого капитала письменное заявление должно быть представлено попечителем доверия.
• В случае международных инвестиций с ограниченной ответственностью письменное заявление должно быть представлено лицом или от имени общества с ограниченной ответственностью.

Для того, чтобы признать схему, Центральный банк должен быть удовлетворен тем, что:

• Директора, промоутеры, менеджеры и попечитель схемы являются компетентными и честными, и что менеджер, генеральный партнер и попечитель (в зависимости от обстоятельств) действуют независимо друг от друга.
• Менеджер отвечает необходимым требованиям в соответствии с законодательством и правилами.
• Попечитель отвечает требованиям в соответствии с законодательством и правилами
• Генеральный партнер отвечает требованиям менеджера.
• Название схемы не относится к нежелательным

Кроме того, Центральный банк должен быть удовлетворен тем, что конституционные документации и предлагаемый меморандум о схеме содержат сведения, установленные Центральным банком, и что они находятся в приемлемой форме.

Применяемые нормативные сборы

• 1,500 долларов США для схем, которые будут продаваться широкой общественности;
• 1,000 долларов США  для схем, которые будут продаваться только опытным инвесторам;
•  500 долларов США  для схем международного частного коллективного инвестирования

Нормативные инспекционные сборы

Ежегодный инспекционный сбор применяется для каждого типа признанной схемы, которая эквивалентна взносу,  указанному выше, т.е. 1500 долл. США для схем на рынке для широкой публики, 1000 долларов США для схем, которые будут продаваться только опытным инвесторам, и 500 долларов США для частных международных коллективных инвестиционных схем.

Регистрация несовершеннолетних (в возрасте до 18)

(а) Заявления о регистрации несовершеннолетних, которые родились за границей после 16/8/1960, отец которых является  гражданином Кипра, либо, после 11/6/1999, их мать – гражданка Кипра, представляются по форме M.121.Свидетельство о рождении ребенка, удостоверение личности, паспорта и свидетельство о браке родителей прилагаются.

(б) Заявления на регистрацию несовершеннолетних, которые родились на Кипре или за рубежом до 11/6/1999, и их мать – гражданка Кипра, или их отец приобрел кипрское гражданство после их рождения, предоставляются по форме M.126 от родителя, который является гражданином Кипра. Две фотографии и свидетельство о рождении несовершеннолетнего, ксерокопии паспортов родителей и согласие родителя, который не является гражданином Кипра, прилагаются.

Регистрация взрослых (старше 18)

(а) Лица кипрского происхождения, которые родились до 16/8/1960, подают заявление по форме М. 71 или 72 и прилагают свое свидетельство о рождении и общие сведения о родителях или о родителях родителей, т.е. паспорт / удостоверение личности / свидетельство о гражданстве.

(б) Лица кипрского происхождения, независимо от места их проживания, которые родились после 16/8/1960 подают заявленияи по форме M.123 (в двух экземплярах) и прилагают свидетельство о рождении.

(с) Лица кипрского происхождения, родившиеся до или после 16/8/1960, которые являются британскими гражданами или гражданами любой страны Содружества, законно проживающие в Республике Кипр сроком на один год, могут подавать заявление по форме М. 124 (в двух экземплярах), прилагая свидетельство о рождении, положительную характеристику, выданную полицией, и ксерокопию своего паспорта. При регистрации в результате брака с гражданами Республики Кипр, лица, достигшие совершеннолетия и  заключившие брак с гражданином Кипра, могут подать заявление по форме M.125 (в двух экземплярах) по истечении 3-х лет брака и гармоничного сожительства с кипрским супругом.

Существует условие, что вышеуказанные положения не применяются, если иностранец незаконно прибыл или остается на Кипре.Свидетельство о браке, свидетельство о сожительстве двух супругов, свидетельство о рождении заявителя, положительная характеристика, выданная полицией и сведения о кипрском супруге прилагаются.

Приобретение кипрского гражданства путем натурализации

Заявление по форме M.127 может быть представлено лицами, достигшими совершеннолетия и легально проживающими в Республике Кипр, которые в последние 8 лет до подачи заявления накопили более 5 лет проживания в стране, и более 7 лет проживания в стране , если они являются спортивными игроками, спортивными тренерами и техниками или работают в международных деловых компаниях, или на кипрских работодателей и т.д. Они должны приложить свидетельство о рождении, паспорт, положительную характеристику полиции, 2 фотографии и публикации в кипрской газете 2 дня подряд о своем намерении подать заявление на натурализацию.

Отказ от кипрского гражданства

(в двух экземплярах), и сертификат или подтверждение того, что заявители являются обладателями любого иностранного гражданства, прилагается.

Заявления о регистрации смерти

Заявления на регистрацию смерти гражданина Кипра, умершего за границей, представляются по форме M.138 ближайшими родственниками покойного, и свидетельство о смерти из страны, где произошла смерть, прилагается.

Примечание: Все вышеуказанные приложения предварительно подписываются судьей или судебным регистратором, если они представлены с Кипра, или сотрудником консульства Республики Кипр, если они представлены из-за рубежа.

Приобретение вида на жительство в Республике Кипр

Что касается въезда граждан третьих стран, а также их пребывания (как временного так и постоянного), работы и учебы в Республике Кипр, на данный момент действует закон об “Иностранцах и Миграции” согласно соответствующим директивам и регламентам ЕС.

Право пребывания/проживания на Кипре дается только тем гражданам, которые имеют Вид на жительство. Максимальный период отсутствия пребывания на Кипре составляет три месяца. По истечении данного срока Вид на жительство автоматически аннулируется, за исключением отсутствия с острова по деловым соображениям. В последнем случае потребуется предоставление соответствующих документов, подтверждающих определенный факт.

Иностранным гражданам, желающим приобрести Вид на жительство, согласно вышеуказанному положению закона об “Иностранных граждан и Эмиграции (1972 г.)” необходимо обратиться в отдел имиграционного контроля Кипра. Следовательно, в случае, если лицо попадает под нижеуказанные категории (касательно проживания посредством разрешения на работу),  отдел имиграционного контроля дает соответствующие рекомендации министру внутренних дел.

Категория А :  Лица, которые намерены работать,  как самостоятельно занятые работники в сельском хозяйстве, животноводстве, птицеводстве, рыбеводстве итд. на Кипре.  Данные лица должны иметь в собственности землю или разрешение на ее покупку, а также сумму 475,500.00 евро в своем полном и свободном распоряжении, при условии, что  данная занятость не будет иметь отрицательное воздействие на экономику Республики (это относится только тех иностранных граждан, которые намерены открыть коммерческий офис на Кипре)

Категория Б : Лица, которые намерены работать, как самостоятельно занятые работники в отрасли горнодобывания на Кипре, при условии наличия соответствующий лицензии, а также суммы  380,400.00 евро в своем полном и свободном распоряжении, при требовании, что данная занятость не будет иметь отрицательное воздействие на экономику Республики.

Категория В: Лица, которые намерены работать, как самостоятельно занятые  работники в сфере торговли или какой либо профессии на Кипре, при условии наличия соответствующий лицензии, а также суммы  286,000.00 евро в своем полном и свободном распоряжении, при требовании, что данная занятость не будет иметь отрицательное воздействие на экономику Республики. Активы потенциального инвестора должны составлять не менее 286,000.00 евро.

Категория Г: Лица, которые намерены работать, как самостоятельно занятые  работники в  сфере науки  или какой либо профессии на Кипре, на которые существует спрос, при условии наличия соответствующих академических или профессиональных квалификаций. Данные лица должны быть заняты в компаниях, зарегистрированных на Кипре. Данная категория также касается лиц, которые работая на Кипре  получают  зарплату из-за рубежа. Ежемесячная зарплата должна составлять как минимум 7,300 евро.

Категория Д: Лица, которым было сделано предложение о постоянном трудоустройстве в Республике Кипр, при условии соблюдения всех правил местной конкуренции.(Отношение к этой категории возможно при требовании, что на протяжении всего времени лицо остается работником той же компании). Данное разрешение не имеет срока истечения. В случае попадания в какую-либо из вышеуказанных категорий иностранные граждане имеют право на подачу соответственного заявления.

Категория Е: Как правило, данная категория относится к неработающим лицам, которые по истечению 5-7 лет имеют право на подачу заявления с целью приобретения кипрского гражданства.  Обычно под эту категорию попадают лица, которые имеют годовой доход, позволяющий им поддерживать достойный уровень жизни. В частности, годовой доход иностранных граждан должен составлять не менее 11.000.00 евро на каждого заявителя, а также не менее 5,500.00 евро на каждого зависимого члена семьи. Следует отметить, что отдел имиграционного контроля оставляет за собой право к требованию каких-либо дополнительных сумм, в случае необходимости.

Для приобретения разрешения иммиграционного отдела, требуется подача формы М.67 в отдел записи актов гражданского состояния и миграции Кипра, напрямую или непосредственно через районные отделения милиции.

Что касается заявителей категории Е, заявление должно сопровождаться оригиналами документов, касающихся их доходов (касательно справки о балансе банка, документ должен быть выдан в стране, где находится банк). Заявители, находящиеся за границей, на момент подачи заявления также имеют возможность подать данное заявление в посольства и консульства Республики Кипр.

Все заявления рассматриваются отделом имиграционного контроля, который в последствии предоставляет соответствующие предложения министру внутренних дел, для выношения окончательного решения.

Стоимость приобретения разрешения иммиграционного отдела составляет 120 евро. Данная сумма выплачивается после одобрения заявления и до момента выдачи самого разрешения как такогого.

Право международных коммерческих компаний  на трудоустройство иностранцев.

Как кипрские, так и международные компании (данные компании должны зарегистрироваться в иммиграционном отделе) имеют право на трудоустройство граждан третьих стран на Кипре, при условии соблюдения нижерасположенных критериев:

1.   а)  Большинство акционеров должны быть иностранцами. В случае акционеров, конечными владельцами которых являются иностранные компании-они должны быть деклорированы, для соответствующего  утверждения  отделом записи актов гражданского состояния и миграции Кипра.

Данные указания не применяются к нижеуказанным компаниям:

i)                    Европейские публичные компании

ii)                   Международные компании, которые начали свою деятельность до смены режима, данные которых занесены в базы данных Центробанка.

б)    В случае если процент иностранного участия в уставном капитале равняется 50% или ниже , данное участие должно представлять сумму равную 170,860 евро и выше. В случае, если заявителем является консалтинговая фирма, капиталовложения должны составлять как минимум 41,800 евро. Также требуется письменное подтверждение адвоката, касательно оказываемых фирмой услуг.

2.    Что касется новоучрежденных компаний, необходимо предоставление банковских свидетельств, относительно легальных прямых иностранных инвестиций на сумму не менее 170,860 евро. Вдобавок требуются доказательства стабильного экономического роста, подтвержденные годовыми отчетностями, поданными в реестр.

3.    Действие данных компаний осуществляется посредством  отдельных офисов на Кипре. Определенные офисы должны быть расположены в подходящих для их целей помещениях. Расположение офисов запрещается в жилых помещениях(за исключением совместного рамещения).

Сотрудникам (работникам) поначалу требуется приобрести: а) временный вид на жительство (pink slip), б) разрешение на трудоустройство из отдела записи актов гражданского состояния и миграции.

(Pink slip дает право иностранным гражданам  на проживание и работу.Данный документ обычно выдается на срок от одного до двух лет).

Должностные классификации.

Компании имеют право нанимать сотрудников на следующие позиции:

1) Граждане третьих стран, работающие на следующих позициях будут рассматриваться как исполнительные директора.

• директора или партнеры
• генеральные менеджеры филиалов
• руководители  отделов

Количество данных руководителей не должно превышать пяти человек, за исключением одобрения отделом записи актов гражданского состояния и миграции большего количества руководителей.

Бланк заявления должен сопровождаться нижеуказанными документами:

i)  Трудовое соглашение с указанием годового оклада (по крайней мере 41,800 евро, за исключением некоторых других видов занятости, где сумма оклада может составлять 20,500 евро)-социальное страхование оплачивается на каждого директора. Также оплачивается подоходный налог в случае если годовой доход превышает 19,000 евро.

ii)   Бланк М58 для рарешения на въезд или бланк М61 для выдачи временного вида на жительство.

iii)   Бланк М64 разрешения на трудоустройство.

iv)   Одна фотография.

v)    Ежегодная плата 35 евро, при подачи бланка заявления.

vi)   Ксерокопия страницы паспорта с личными данными.

vii)  Свидетельство о регистрации иностранных граждан.

viii) Поручительство банка («замораживается» минимальная сумма 540 евро на баковском счету).

ix)   Справка об отсутствии судимости.

x)  Свидетельство о страховании кипрской страховой медицинской организации (сроком на один год).

xi)  Документ медицинской экспертизы и рентгенограммы туберкулеза (грудной клетки).

xii) Регистрация в фонде социального страхования (необходимо предоставление трудового соглашения).

Новоучрежденные компании/компании с новыми руководителями (иностранные граждане).

В данном случае требуются доказательства о том, что члены семей  сотрудников-граждан третьих стран не станут обузой для организации по социальному обеспечению. Доказательством может послужить банковский депозит  на сумму не менее 41,800 евро (ежегодно). Заявитель(компания) обязян предъявить в реестр компаний Республики Кипр сертификат из банка о наличии данной суммы на  депозите.

В любом случае депозит должен быть осуществлен акционером/и компании.

Существующие компании (зарегистрированные).

Это условие выполняется посредством предоставления проверенных (аудитом) движений финансовых средств за  год до подачи заявления. Также требуется аудиторское заключение, касающееся жиснеспособности компании и справка об отсутствии задолженности по налогам из налогового управления.

В таком случае, если сотрудники  намерены остаться на Кипре в течение длительного периода времени, они имеют право на подачу,  в отдел записи актов гражданского состояния и миграции, бланка заявления М67, с целью соответственного разрешения иммиграционного отдела.

Для продления срока действия разрешений, расположенных выше требуются нижеперечисленные документы:

i)   Годовой отчет компании (выданный бухгалтерией).

ii) Проверенные (аудитором) движения финансовых средств за  год до подачи заявления и аудиторское заключение, касающееся жиснеспособности компании.

iii) Справка об отсутствии задолженности по подоходным налогам, касательно заявителя, а также справка об отсутствии задолженности по корпоративным доходам, касаемо компании.

iv)  Справка о взносах в систему социального фонда обеспечения.

v)  Список с персоналом компании.

vi) Трудовое соглашение с указанием годового оклада (по крайней мере 41,800 евро, за исключением некоторых других видов занятости, где сумма оклада может составлять 20,500 евро).

vii) Бланк М58 для рарешения на въезд или бланк М61 для выдачи временного вида на жительство.

Заявители по истечении двух лет трудоустройства, имеют право подать заявление по категории Д. Заявщик, при условии трудового договора на неопределенный срок, получает данный статус сразу после временоого разрешения на проживание.

2) Граждане третьих стран, относящиеся к среднему руководящему персоналу и прочий ключевой персонал.

В данную категорию входят лица, не являющиеся исполнительными директорами.

Количество данных руководителей не должно превышать десяти человек, за исключением одобрения отделом записи актов гражданского состояния и миграции большего количества руководителей.

Заполненый бланк заявления на трудоустройство, подается в отдел записи актов гражданского состояния и миграции, гражданами третьих стран. В течении месяца, после подачи заявления, данный отдел выдает как временный вид на жительство, так и разрешение на трудоустройство, сроком действия на два года.

Бланк заявления должен сопровождаться нижеуказанными документами:

i)  Трудовое соглашение с указанием годового дохода.

ii)   Бланк М58 для рарешения на въезд или бланк М61 для выдачи временного вида на жительство.

iii)   Бланк М64 разрешения на трудоустройство.

iv)   Одна фотография.

v)    Ежегодная плата 35 евро, при подачи бланка заявления.

vi)   Ксерокопия страницы паспорта с личными данными.

vii)  Свидетельство о регистрации иностранных граждан.

viii) Поручительство банка.

ix)   Справка об отсутствии судимости.

x)  Свидетельство о страховании кипрской страховой медицинской организации (сроком на один год).

Новоучрежденные компании

В данном случае требуются доказательства о том, что члены семей  сотрудников-граждан третьих стран не станут обузой для организации по социальному обеспечению. Заявитель(компания) обязян предъявить в реестр компаний Республики Кипр сертификат из банка о наличии данной суммы на  депозите.

В случае если компания-заявитель намеревается нанять более двух сотрудников на руководительские позиции, требуется предоставление рекомендации от кипрского банка, относительно экономического роста компании.

При условии что сотрудники также являются акционерами  компании, вышеуказанная сумма годового дохода должна быть депозирована (на их счете/счете компании) в кипрском банке.

В случае если сотрудники не являются акционерами, сумма годового дохода

депозируется в кипрском банке, на счету компании.

Существующие компании (зарегистрированные)

Это условие выполняется посредством предоставления проверенных (аудитом) движений финансовых средств, за  год до подачи заявления. Также требуется аудиторское заключение, касающееся жиснеспособности компании и справка об отсутствии задолженности по налогам из налогового управления.

Заполненный бланк подается в  отдел записи актов гражданского состояния и миграции, со всеми необходимыми сертификатами/документами для продления вышерасположенных разрешений – бланк М61 (временный вид на жительство) и бланк М64 (разрешение на трудоустройство).

В таком случае, если сотрудники  намерены остаться на Кипре в течение длительного периода времени, они имеют право на подачу,  в отдел записи актов гражданского состояния и миграции, бланка заявления М67.

Никаких ограничений, касательно периода проживания данных сотрудников не существует.

Для продления срока действия разрешений, требуются нижеперечисленные документы:

i)   Годовой отчет компании (выданный бухгалтерией).

ii) Проверенные (аудитором) движения финансовых средств за год до подачи заявления и аудиторское заключение, касающееся жиснеспособности компании.

iii) Справка об отсутствии задолженности по подоходным налогам, касательно заявителя, а также справка об отсутствии задолженности по корпоративным доходам, касаемо компании.

iv) Справка о взносах в систему социального фонда обеспечения.

3) Вспомогательный персонал.

В данную категорию входят лица-граждане третьих стран, не являющиеся исполнительными директорами, средним руководящим и прочим ключевым персоналом.

В данной категории, касательно трудоустройства, предпочтение отдается гражданам Кипра/ЕС. В случае отсутствия подходящих работников/сотрудников, компания имеет право найма граждан третьих стран, согласно описанным процедурам, в тоже время, предоставляя все необходимые документы/сертификаты.В случае утвердительного решения, требуется относительное подтверждение департамента труда Республики Кипр.

Объявления, касающиеся вакансий, афишируются как минимум на протяжении трех месяцев и только в случае отсутствия желающих лиц, или их неподходимости (требуются доказательства), компания имеет вышеописанное  право.

Заполненный бланк заявления на трудоустройство граждан третьих стран, подается в районные отделения полиции (департамент иностранных граждан и эмиграции). Также требуется предварительное подтверждение департамента труда, касательно относительного решения. Данный департамент, до момента принятия решения, проводит соответствующую проверку рынка труда, на наличие существования кандидатур-граждан Кипра/ЕС.

Бланк заявления должен сопровождаться нижеуказанными документами:

Что касается работодателя:

i)  Свидетельство о регистрации компании.

ii) Учредительный договор и устав компании, заверенные в реестре.

iii) Заявление от имени руководителя компании и секретаря.

iv) Заявление от имени акционеров компании.

v)  Заявление головного офиса.

vi) Краткое описание деятельности компании, заключенных сделок итд.

vii) Сертификат директоров и акционеров компании вкупе с ксерокопиями их паспортов, и документов, подтверждающих их адреса.

viii) Копия договора о сдаче в аренду главного офиса (в случае отсутствия такогого, на момент регистрации компании, компания обязана предоставить данный договор в миграционный отдел, в течении двух месяцев после подачи заявления).

Что касается работников/сотрудников:

i) Трудовое соглашение с указанием годового дохода и продолжительности трудоустройства, заверенное районным отделением департамента труда, при условии, что работодатели имеют разрешение на найм граждан третьих стран.

ii) Бланк М61 для выдачи временного вида на жительство, а также бланк М64 для разрешения на трудоустройство.

iii)     Ксерокопия  страницы паспорта с личными данными.

iv) Ксерокопия свидетельства о регистрации иностранных граждан.

v)  Справка об отсутствии судимости.

vi) Поручительное письмо от работодателя (что касается членов семьи, данные письма предоставляются из третьих стран).

vii) Плата 40 евро.

viii) Документ медицинской экспертизы и рентгенограммы туберкулеза (грудной клетки)

Заполненный бланк заявления подается в районные отделения полиции (департамент иностранных граждан и миграции).

Для продления срока действия разрешений, требуются нижеперечисленные документы:

i)   Ксерокопии предыдущих разрешений.

ii) Справка от налоговой службы   об отсутствии задолженности по подоходным налогам.

iii) Справка о взносах (за прошедший год) в систему социального фонда обеспечения.

iv) Трудовое соглашение с указанием годового дохода и продолжительности трудоустройства, заверенное районным отделением департамента труда, при условии, что работодатели имеют разрешение на найм граждан третьих стран.

v) Бланк М61 для выдачи временного вида на жительство, а также бланк М64 для разрешения на трудоустройство.

vi)   Ксерокопия страницы паспорта с личными данными.

vii)  Ксерокопия свидетельства о регистрации иностранных граждан.

viii) Поручительное письмо от работодателя (что касается членов семьи, данные письма предоставляются из третьих стран).

ix)  Ежегодная плата-40 евро.

x) Документ медицинской экспертизы и рентгенограммы туберкулеза (грудной клетки).

Найм работников -граждан третьих стран.

Процедура найма работников предусматривается законом об “Иностранцах и Миграции” вкупе с постановлениями кабинета министров. Кабинет министров, в случае приобретения заявителем кипрской недвижимости, имеет полномочие  на  выдачу данным лицам,  вида на жительство, при соблюдении определенных условий.

Общая информация

i)  Иностранные лица имеют право на покупку жилого дома или земельного участка, площадью до 4,000 кв.м. Данные лица также имеют право на приобретение второго дома в случае, если приобретатель проживает на Кипре при условии, что объект покупки находится в области курортной зоны. В последнем случае необходимо утверждение кабинета министров. Соответствующее согласие, как правило,  предоставляется в течении двенадцати месяцев с момента подачи заявления. Подобное согласие также предоставляется, как в случаях приобретения недвижимости посредством использования трастовых фондов, так и в случае ее аренды.

ii) Приобретение разрешения на покупку указанной выше недвижимости, осуществляется посредством юристов/адвокатов, которые составили договор купли-продажи. Далее, данный контракт подается на регистрацию в отдел земельного управления по местонахождению недвижимости.

Перед получением вида на жительство, заявители должны пройти интервью в отделе управления миграционной службы. Заявителям необходимо предоставить нижеуказанные документы:

1)  Паспорт.

2)  4 фотографии паспортного размера.

3)  Договор купли-продажи недвижимости или договор об аренде.

4) Баланс банковского счета (открытие банковского счета на Кипре обязательно).

5)  Описание источников финансов заявителя(например, пенсия, сдача в аренду, дивиденды итд).

6) На момент собеседования, заявитель должен доказать экономическую самообеспеченность и самостоятельность.

7)  Заявитель должен иметь веские причины на подачу всех  соответствующих документов, для приобретения разрешения на работу.

Иностранные граждане, приобретающие недвижимость на Кипре, также могут получить вид на жительство.

На Кипре существует два типа вида на жительство:

1) Временный вид на жительство (действующее  на определенный срок). Требуется наличие банковского счета на Кипре. Также необходима подача договора купли-продажи недвижимости. Данное заявление обычно подается по истечении от одного года до четырех лет.

2) Постоянный вид на жительство. (см. условия выше, при условии, что годовой доход заявителя составляет не менее 10,000 евро).

Иностранным гражданам, желающим получить вид на жительство, следует обращаться в отдел управления кипрской миграционной службы. Данный отдел в последствии предоставляет  предложения министру внутренних дел, относительно принадлежания иностранных граждан к вышерасположенным категориям,  для вынесения окончательного решения.

Финансовые услуги и ипотека.

Предоставление ипотечного кредита на Кипре, осуществляется как банками, так и остальными финансовыми организациями.

Кредиты выдаются как в местной, так и в иностранной валюте, на сумму, составляющую  60-80% от стоимости недвижимости, со сроком погашения от семи до двадцати лет. Также  предоставляются индивидуальные схемы погашения кредита.

Правовой статус иностранцев-обладателей постоянного вида на жительство

(граждане третьих стран ).

Граждане третьих стран, проживающие на Кипре в статусе  визитеров (владельцы pink slip), а также лица попадающие под Категорию Е, имеют право на получение постоянного вида на жительство, по истечении пяти лет легального пребывания на Кипре.  

Заявители должны предоставить указанные ниже документы:

i) Доказательство постоянного/стабильного дохода заявителя.

Заявитель должен доказать экономическую самообеспеченность и самостоятельность, во избежание обременения социальных служб. Также учитываются такие факторы, как сумма пенсии, минимальная зарплата итд.

ii) В соответствии с действующими правовыми нормами, Республика Кипр имеет право предъявить требования к ассимиляции. Государство оставляет за собой право отказа выдачи постоянного вида на жительство, по причинам общественной или социальной безопасности.

Обладатели постоянного вида на жительство имеют следующие  права (как и  граждане Кипра) :

i)   Предпринимательства и занятости.

ii)  Образования и профессиональной подготовки.

iii) Легализации дипломов, сертификатов, и прочих документов.

iv)     Что касается  социальной безопасности и социальной помощи.

v)      Налоговые льготы.

vi) Равный доступ к товарам, услугам и условиям аренды жилых помещений.

vii) Доступ к членству в профсоюзах и прочих организаций, а также пользование их услугами и льготами.

viii) Свобода передвижения по территории Республики Кипр.

Государство оставляет за собой возможность ограничения данных прав, в случае:

а) В сфере занятости, если должность/место зарезервировано гражданином Кипра, стран-членов ЕС или Европейской экономической зоны.

б) В области образования/профессиональной подготовки, если заявитель не удовлетворительно владеет языком.

Студенческий вид на жительство.

Студенты обязаны иметь данный вид на жительство, которое выдается отделом записи актов гражданского состояния и миграции. Студенческие визы выдаются на конкретные образовательные учреждения. В случае намерения изменения образовательного учреждения, требуется получение нового вида на жительство.

Иностранным студентам из стран, которые не являются членами ЕС, необходимо  получить студенческую   визу  перед  въездом на Кипр. Выдача данных виз относится  только к студентам очной формы обучения. Таковым считается студент, который берет, как  минимум, двенадцать  кредитов в семестр.

Студенческие   визы  выдаются  как кипрскими Посольствами/Консульствами, так и миграционным департаментом Республики Кипр. В случае отсутствия Посольств/Консульств  в их странах, иностранные студенты подают, напрямую, в  образовательные учреждения, нижеперчисленные документы на выдачу данной визы (в данном случае заявление подается самими учреждениями, от имени студента):

i)  Заполненный бланк заявления (предоставляется учебным заведением).

ii) Плата за заявление-85 евро.

iii)   4 фотографии паспортного размера.

iv) Заверенные и апостилированные копии академических квалификаций студента.

v) Подтверждение суммы в 1,200-1,500 евро в наличии у студента, по прибытии в аэропорт Республики Кипра.

vi) Студент обязан оплатить (перед прибытием на Кипр), не менее 50% годовой оплаты за обучение. Чек, касательно перевода данной суммы, следует предъявить при прибытии в аэропорт.

vii) Доказательства владения английским языком (по возможности).

viii) Ксерокопия паспорта (паспорт должен быть годен, как минимум, на один год, до прибытия студента на Кипр).

ix)  Заверенная и апостилированная справка (оригинал) о хорошем поведении  из полиции страны проживания студента. Данная справка должна быть выдана не более шести месяцев, до начала учебного семестра. Должности и имена лиц, выдавших вышеуказанную справку, должны быть четко указаны. В случае, если справка не на английском языке, официальный перевод должен быть также предоставлен.

x) Финансовые гарантии, выданные спонсором студента (например банком), подтверждающие наличие достаточных денежных средств (у спонсора студента) на покрытие его пребывания и обучения на Кипре (на один учебный год). Имена (спонсора, студента) должны быть указаны в данной гарантии (требуется оригинал), которая  должна быть выдана не более шести месяцев, до начала учебного семестра. Также на документе должен быть указан почтовый адрес, телефонный номер, номер факса и адрес электронной почты спонсора. В случае,если справка не на английском языке, официальный перевод должен быть также предоставлен.

Сразу после получении визы, соответствующая  копия будет отправлена студенту.

Процедура выдачи визы занимает около одного месяца. Поэтому важно, чтобы  заявление было подано, как минимум, за  два-три месяца, до предполагаемой даты зачисления в учебное заведение.

В первый рабочий день, со дня прибытия на Кипр, студент обязан зарегистрироваться в учебном заведении, для того, чтобы завершить  оставшиеся формальности.

Иностранные студенты  обязаны зарегистрироваться в районном отделении полиции в течении семи дней со дня прибытия. Они также обязаны пройти все необходимые медицинские осмотры (обследования) в первый рабочий день со дня прибытия на Кипр. Далее, в течении семи дней со дня прибытия студента, данные результаты подаются в районное отделение полиции.

Получение гражданства через натурализацию.

Данное право имеют следующие категории лиц:

i) Совершеннолетние лица, проживающие на Кипре от 4 до 7 лет, на протяжении последних 8 лет.

ii) Спортсмены, тренеры, техники, представители международных компаний, работники/сотрудники местных компаний и т.д.

Заявители должны предоставить: свидетельство о рождении, паспорт, справка   о хорошем поведении  из полиции и две фотографии паспортного размера.     Заявители также обязаны опубликовать свое намерение(касательно получения кипрского гражданства) в  газете, в течении  двух рабочих дней после подачи заявления.

Следует отметить, что таким образом гражданство не приобретается автоматически. Соответствующее решение  издает министр внутренних дел

Условия:

i) Заявитель долежн проживать на Кипре на протяжении последних 12 месяцев.

ii) До начала 12 месячного срока, заявитель  должен  пребывать  или работать на общественных началах на Кипре, как минимум, от 4 до 7 лет  вышеуказанного периода.

Кабинет министров, в индивидуальных случаях оставляет за собой право измения данных условий:

i) Сократить 12-месячный срок, пункта (i), предыдущего раздела, до 6-месячного срока.

ii) Продлить 8-летний период, пункта (ii) предыдущего раздела.

iii) В исключительных случаях, иностранцы, предоставляющие услуги высшего уровня на Кипр, могут получить гражданство, вне зависимости от условий предыдущего раздела. Палата представителей, в данном случае,  должна быть поставлена в известность заранее.

Acquisition of the Cypriot Citizenship by Registration or Naturalization

Registrations of minors (under the age of 18)

(a) Applications for registration of minors who were born abroad after 16/8/1960 and either their father is a Cypriot citizen or, after 11/6/1999, their mother is a Cypriot citizen, are submitted on form M.121. A birth certificate of the child, identity card, passports and certificate of marriage of the parents are attached.

(b) Applications for the registration of minors who were born either in Cyprus or abroad before 11/6/1999 and their mother is a Cypriot citizen or their father acquired the Cypriot citizenship after their birth are submitted on form M.126 by the parent who is a Cypriot citizen. Two photographs and a birth certificate of the minor, photocopies of the passports of the parents and consent of the parent who is not a Cypriot citizen are attached.

Registration of adults (over the age of 18)

(a) Persons of Cypriot origin who were born before 16/8/1960 submit an application on form M. 71 or 72 and attach their birth certificate and their fathers or grand fathers particulars i.e. passport/identity card/certificate of citizenship.

(b) Persons of Cypriot origin, regardless of the place of their residence, who were born after 16/8/1960 submit applications on form M.123 (in duplicate) and attach their birth certificate.

(c) Persons of Cypriot origin, born either before or after 16/8/1960, who are British citizens or citizens of any commonwealth country who are legally residing in the Republic of Cyprus for a period of one year they may apply on form M.124 (in duplicate) and attach their birth certificate, a good character certificate issued by the police and photocopy of their passport. Registrations as a result of marriage to citizens of the Republic of Cyprus A person of full age and capacity who has contracted a marriage to a citizen of Cyprus may submit an application on form M.125 (in duplicate) after completing 3 years of marriage and harmonious cohabitation with the Cypriot spouse.

Provided that the above mentioned provisions shall not apply where the alien entered or stays illegally in Cyprus. A marriage certificate, a certificate of cohabitation of the two spouses, a birth certificate of the applicant, good character certificate issued by police and particulars of the Cypriot spouse are attached.

Acquisition of Cypriot Citizenship by Naturalisation

An application on form M.127 may be submitted by persons of full age and capacity who were legally residing in the Republic of Cyprus and who in the last 8 years before their application accumulated more than 5 years of residence or more than 7 years of residence, if they are sports players, sports technicians or coaches or work in International Business Companies, or for Cypriot employers etc. They should attach a birth certificate, their passport, a good character certificate issued by the police, 2 photographs and the publication in a Cypriot newspaper for 2 consecutive days of their intention to apply for naturalization.

Renunciation of Cypriot Citizenship

Applications for renunciation of Cypriot Citizenship are submitted on form M.130

(in Duplicate) and a certificate or affirmation that the applicants are holders of any foreign nationality is attached.

The immovable property letting in Cyprus is regulated by the Rent Control Law of 1983. This law was originally drafted mainly aiming at the protection of the tenant, by regulating the landlord and tenant relationship in Cyprus.

This Law comes into operation when the tenant continues to occupy the rented property, after the expiration of the first period of lease, i.e. the rental period forming part of the original written agreement between landlord and tenant. This protection of the tenant applies and covers the case where in the meantime change of ownership takes place.

The intention of this Law is the protection of the tenants, who continues to occupy the property and consistently pay their rents, after the expiration of the initially agreed rental period.

Who is a Tenant?

A tenant, according to the Rent Control Law of Cyprus (1983), can be an individual or legal person (i.e. a company or any other corporation) resident of Cyprus or having headquarters in Cyprus. The Court through its case law has extended the term “tenant”, so as to include every European citizen or Company.

Who is a Landlord?

According to the Law, a “landlord” can be any individual or legal person that has possession or right of possession of the property and, in the event of subletting, the sub-tenant who is then considered to be in the position of landlord vis-a-viz his tenant.

Rent is the sum agreed to be paid as rent but common expenses are not included and unless the agreement suggests otherwise, the landlord is presumed to be liable for the payment of common expenses.

The letting is essentially an agreement between landlord and tenant.  Generally the Law does not interfere and is not concerned with the terms regulating the agreement between the two parties, but simply provides some limitations aiming at the protection of the tenant with regards to any increase of the rent or the grounds upon which the tenant may be ordered to vacate the same.

Immovable property held in Cyprus is subject to the Immovable Property Tax which is levied by the State every year on all Immovable property held, and the tax is based on the market value of the property as on the 01.01.1980. Tax is imposed on all the property held as on the 1^st day of January of every year irrespective of whether this has been sold (but not yet transferred in the name of the new owner) or not.

The tax rates applicable are as follows:

The tax is payable before the 30^th of September of each year. The Immovable Property Tax is the same irrespective of the use of the property or the period it is occupied.

In the case of developers (legal entities or individuals), since these persons are, by and large, owners of high value properties or owners of many properties the total value of which is high, the Immovable Property Tax imposed is calculated on the highest rate of tax.

This tax, as already mentioned, is imposed on the value of the properties held as at the 1^st of January of each year irrespective of whether a property has been sold but not yet registered in the name of the new purchaser. If the same property was registered in the purchaser’s name, the tax imposed would probably have been less or even nil.

According to section 7(3) of the Immovable Property Tax Law, in case of such sale, the purchaser can apply to the Director of the Inland Revenue and claim back the tax so overpaid, subject to certain conditions being satisfied. In such a case the seller has to provide a certificate to the purchaser on which the Immovable Property Tax corresponding to the property in question paid should appear.

The conditions that have to be fulfilled are:

a)   The purchaser should produce to the Director the relevant contract of sale and any other particulars proving that the said tax has been added to the sale price of the said immovable property;

b)   The provisions of section 2 of the Sale of Land (Specific Performance) Law have been complied with; and

c)    The purchaser much prove that together with the tax paid as aforesaid, he/she has paid tax exceeding the amount of tax properly imposable upon him.

According to Cyprus Law, purchasers need a written contract of sale, which will have to be properly stamped and lodged at the Land Registry Office for specific performance purposes. This provides purchasers with the security of a legal charge over the property, which will remain up until the time of transfer of the title deed to their name.

Objective

The sole objective of an ICIS is the collective investment of funds of unit holders and it is governed by the International Collective Investment Schemes Law, 47(I)/1999. Under this law a unit holder is the owner of units (share, participation or interest in a scheme).

A unit holder may be:

a)  an ICIS, or

b)  an international business company, or

c)  a person not being a permanent resident of Cyprus for the purposes of the Exchange Control Law.

Legal forms of an ICIS

An IClS can take the following legal forms:

• International fixed capital company
• International variable capital company
• International unit trust scheme, and
• International investment limited partnership

All four types of ICIS may be established with limited or unlimited duration and may be structured in such a way as the promoters may determine, provided however, that adequate protection is in place for the unit holders.

International Fixed Capital Company

This is an International Investment Company that is incorporated under the companies law and recognized to operate as an international fixed capital company by the ICIS law. Its assets and unit holders are non residents of Cyprus and the share capital of the company cannot increase or decrease. Initial minimum capital has been set to US$100,000 which will be marketed to the public or to experienced investors. Fixed capital companies which are private international collective investment schemes having 100 or less investors are exempted from this requirement.

International Variable Capital Company

This is an International Investment Company that is incorporated under the companies law and recognized to operate as an international variable capital company by the ICIS law. Its assets and unit holders are non residents of Cyprus and the share capital of the company may vary according to the investors participating in or exiting the company. This means that the amount of the share capital of the company shall be equal to the net asset value of the shares of the company at any time in issuance and that the share capital of the company may be divided into a specified number of shares without assigning any nominal (par) value.

International Unit Trust Scheme

This is an International trust created under the International Trusts Law recognised to operate as an international unit trust scheme by the ICIS law.

A trust is legally defined as the relationship created by a person (the settlor) who places assets under the control of the trustee for the benefit of a third party (the beneficiary). These assets are like a separate “fund” and are not part of the trustee’s own estate. The title of the trust assets stands in the name of the trustee and the trustee is empowered and duty bound to manage the assets held in trust in accordance with the terms of the trust agreement.

Under section 2 of the International Trust Law, a trust qualifies for a Cyprus International Trust where:

• the settlor is not a permanent resident in Cyprus;
• at least one trustee is a permanent resident in Cyprus;
• no beneficiaries are permanent residents in Cyprus; and
• the trust property does not include any immovable property in Cyprus.

International Investment Limited Partnership Scheme

This is a limited partnership that is registered under the Partnership and Business Names Law and which is recognised to operate as an international investment limited partnership by the ICIS law.

The partnership must appoint a general partner who acts as the manager of the fund and who is responsible for any debt and obligations of the scheme that may arise. Limited partners are also members of the scheme and their liability is limited to the amount they have contributed to the scheme. A legal entity can also be a partner with limited liability.

The partners or unit holders of the fund that have limited liability should not take part in the conduct of the business of the scheme or have the power to contract on behalf of the international investment limited partnership. All contracts, deeds, instruments, letters and documents whatsoever shall be entered into, drafted, signed and executed by the general partner on behalf of the international investment limited partnership.

Types of ICIS

Depending on the investment policy and the particular investment objectives, an ICIS may be designated as:

• An ICIS marketed to the general public;
• An ICIS marketed solely to experienced investors; or
• A private international collective investment scheme (100 or less investors)

ICIS Marketed to the General Public

ICISs marketed to the general public do not need to have a minimum subscription. However, International Fixed Capital Companies and International Variable Capital Companies have minimum share capital requirements. The offering memorandum to be addressed to the public must be approved by the Central Bank.

ICIS Marketed Solely to Experienced Investors

The minimum subscription by investors in ICISs which are marketed solely to experienced investors is USD 50.000.

Private ICIS

A private international collective investment scheme means a scheme which by its constitutional documentation restricts the right to transfer its units and limits the number of its unit-holders to one hundred. A private ICIS is prohibited from making any invitation in any part of the world to the public to purchase units in the scheme.

The Central Bank regards a private ICIS as a private arrangement, and therefore because it needs less regulation it is not obliged to appoint a manager or a trustee. Also, a private ICIS does not have a minimum subscription requirement.

Regulatory Framework

Under the law 47(I)/1999 regulating ICIS, the Central Bank has been designated as the regulatory and supervisory authority of ICIS. Other laws which are in force and applicable to the ICIS are the Cyprus Companies Law, the Business Names Law (except from those parts which are specified by the law), and the International Trust Law.

Licensing Requirements

In order to establish an ICIS the prior approval of the Central Bank of Cyprus (the Bank), as the regulatory and supervisory authority for ICIS, their managers and trustees, has to be obtained.

In order to obtain such approval, the Bank must be provided with such information so as to be satisfied as to the competence of the directors, promoters, managers or trustees, as the case may be, and that their probity is such as to render them suitable to act in their respective capacities.

Taxation

ICISs are subject to tax in an identical manner as any other Cyprus entity. In short the basic tax advantages are the following:

• Unified corporate rate of 10% for both international and local business enterprises.
• Adoption of the residency basis rather than source basis as the criteria of taxation.
• Exemption of profits from the sale of securities
• Dividend income is exempt in most cases
• No withholding tax on payments of dividend, interest and royalties to non­residents

Procedure for the Setting-up of International Collective Investment Scheme

An ICIS must be approved by the Central Bank of Cyprus, the regulatory and supervising authority for the schemes, for their managers and their trustees, if applicable.

To this end, a written application to the relevant supervising authorities must be submitted as follows:

• In the case of an international fixed capital company and an international variable capital company the written application must be submitted by or on behalf of the company.
• In the case of an international unit trust the written application must be submitted by the trustee of the trust.
• In the case of an international investment Limited partnership the written application must be submitted by or on behalf of the limited partnership.

In order to recognize the scheme, the Central Bank must be satisfied that:

• The directors, the promoters, the managers, and the trustee of the scheme are competent and honest, and that the manager, the general partner, and the trustee (as the case may be) act independently of one another.
• The manager meets the necessary requirements as per the legislation and the regulations.
• The trustee meets the requirements as per the legislation and regulations
• The general partner meets the requirements of a manager.
• The name of the scheme is not undesirable

Furthermore, the Central Bank must be satisfied that the constitutional documentation and the offering memorandum of the scheme contain the information prescribed by the Central Bank and that they are in an acceptable form.

Statutory Application Fees

• US$ 1,500 for schemes which will be marketed to the general public;
• US$ 1,000 for schemes which will be marketed only to experienced investors;
• US$ 500 for private international collective investment schemes

Statutory Inspection Fees

An annual supervisory fee is applied for each type of recognized scheme which is equivalent to the application fee indicated above, i.e. US$1,500 for schemes marketed to the general public, US$ 1,000 for schemes which will be marketed only to experienced investors and US$ 500 for private international collective investment schemes.

The setting up of a Forex company is more complex than the setting up of a usual company as it is then classed as a Cypriot Investment Firm and must comply with the laws regulating such activities as well as the Cyprus Company Law.

The first step must be the incorporation of a normal company and after this; an application must be made for obtaining a Forex Trading Company Licence, which is governed by the Cyprus Securities and Exchange Commission (CYSEC).

Once we have incorporated the Cyprus Company, we will have to open a bank account for the company with a bank here in Cyprus and pay in the amount which is required for the share capital of the company.

The share capital requirement depends on the type of Forex Company which you wish to establish. We will need the client to provide us with further details as to the type of activities that the proposed company will be carrying out so that we can advise him/her as to the minimum share capital requirements.  For example, the most basic Forex Company is one which offers investment advice and reception and order transmission and does not handle the clients’ money. For this type of company, an up-front share capital of €80,000 will be required.

However, if the clients wish to set up a Forex company which will handle the clients’ money and which will offer trades through its own forex trading platform, a share capital of €200,000 will be required.

Please note though that if one or more of the following services will be taking place, a share capital of €1,000,000 will be required:

(a)          Dealing on own account

(b)         Underwriting

(c)          Placing of financial instruments without a firm commitments basis

(d)         Operation of Multilateral Trading Facilities

Furthermore, it will be necessary to have a business plan, an operations manual and the completion and submission of all the necessary forms and documents that need to be submitted to the CYSEC and other Cypriot authorities. It takes approximately 2-4 months from commencing the procedure until the issuing of the licence which will allow the company to operate.

It is worth noting that under the laws here in Cyprus, the relevant Authorities are under an obligation to reply to the application within a period of 6 months.
